BACKGROUND:
On May 11, 2010, the Housing Authority of the County of San Mateo ("HACSM") Board of Commissioners ("the Commissioners") approved Resolution No. 2010-05 authorizing HACSM to establish a Housing Authority-controlled instrumentality. This process was completed to facilitate the disposition of Midway Village, a former Public Housing property owned by HACSM. As part of the disposition approval by the U.S. Department of Housing and Urban Development ("HUD"), the housing ownership of Midway Village was to be transferred to a not-for-profit instrumentality or another non-profit organization. As a result, HACSM created SAMCHAI, an affiliated not-for-profit entity. In December 2017, when HACSM converted its remaining Public Housing property, El Camino Village, to Project-Based Vouchers under HUD's Rental Assistance Demonstration Program, the property ownership was also transferred to SAMCHAI.

DISCUSSION:
As part of its creation, SAMCHAI was required to adopt Bylaws and Covenants. Pursuant to sections 4.2 and 4.5 of SAMCHAI's Amended and Restated Bylaws (effective October 25, 2017) ("Bylaws"), the number of Directors on the SAMCHAI Board shall be three, and the three Directors shall be annually appointed "by the body acting as Board of Commissioners of the Housing Authority of the County of San Mateo (the 'Commissioners')....
