Subject: Amendment to the Agreement with CEP America - California to Provide Emergency and Correctional Health Services

RECOMMENDATION:
title
Adopt a resolution authorizing an amendment to the agreement with CEP America - California to provide emergency and correctional health services, extending the term of the agreement through March 31, 2020 and increasing the amount by $1,200,000, to an amount not to exceed $8,400,000.

body
BACKGROUND:
In November 2016, your Board approved an agreement with CEP America - California (CEP) to provide emergency and correctional health services.

DISCUSSION:
SMMC has an ongoing need for emergency services. A new agreement for emergency department and correctional health professional medical services has been delayed due to prolonged negotiations. Therefore, SMMC is requesting that your Board extend the term of the current agreement through March 31, 2020, with an associated increase in funding.

County Administrative Memorandum B-1 provides that contracts for physicians are exempt from the Request for Proposals process.

The amendment and resolution have been reviewed and approved by County Counsel as to form. The amendment is coming to your Board late due to the prolonged negotiations mentioned above.

The resolution contains the County's standard provisions allowing amendment of the County fiscal obligations by a maximum of $25,000 (in aggregate).

The County's Contract Compliance Committee has approved a waiver request to extend
the agreement by an additional six months beyond the current term.

It is anticipated that fewer than 2.5% of patients presenting to the Emergency Department (ED) will leave without being seen.
