Subject: Third Amendment to Vascular Surgery Agreement with Sutter Bay Medical Foundation, a California Nonprofit Public Benefit Corporation dba Palo Alto Medical Foundation for Health Care, Research, and Education

RECOMMENDATION:
title
Adopt a resolution authorizing a third amendment to the vascular surgery agreement with Sutter Bay Medical Foundation, a California nonprofit public benefit corporation dba Palo Alto Medical Foundation for Health Care, Research, and Education (PAMF) to increase the "not to exceed" amount of the agreement by $35,107 to an amount of $1,714,274.

BACKGROUND:
San Mateo County is responsible for providing necessary medical care to its medically indigent population. This care includes vascular surgery and the management and supervision of the service. PAMF has provided vascular surgery services at San Mateo Medical Center (SMMC) since 2018. The County and PAMF entered into a vascular surgery services agreement for the term of September 1, 2022, through November 30, 2025, following prior amendments in an amount "not to exceed" $1,679,167.

DISCUSSION:
The "not to exceed amount" of the agreement needs to be increased by $35,107 to an amount not to exceed $1,714,274 because of a miscalculation of the agreement's not to exceed amount in the prior amendment. Approval is needed so that payment per contract terms to the group can occur for services through November 30, 2025.

The County Attorney has reviewed and approved the resolution and agreement as to form.

The resolution contains the County's standard provisions allowing amendment of the County fiscal obligations by a maximum of $25,000 (in aggregate).

It is anticipated that there will be less than 2.5% pf surgical site infection rates...
