Acting as the Governing Board of Commissioners for the Housing Authority of the County of San Mateo, adopt a resolution appointing the Board of Directors for 2025-2026 for SAMCHAI, a not-for-profit public benefit corporation affiliate of the Housing Authority of the County of San Mateo, as required under the SAMCHAI Amended and Restated Bylaws.

BACKGROUND:
On May 11, 2010, this Board, acting in its capacity as the Governing Board of Commissioners (the "Governing Board of Commissioners") for the Housing Authority of the County of San Mateo ("HACSM") approved Resolution No. 2010-05 authorizing HACSM to establish an HACSM-controlled instrumentality to facilitate the disposition of Midway Village, a former public housing property owned by HACSM, and the conversion of El Camino Village to Project-Based Vouchers under the U.S. Department of Housing and Urban Development's ("HUD") Rental Assistance Demonstration Program, with HUD approval. Toward this end, HACSM created SAMCHAI, an affiliated not-for-profit public benefit corporation, to which the ownership of Midway Village was to be transferred as part of the disposition.
In December 2017, when HACSM converted its remaining Public Housing property, El Camino Village, to Project-Based Vouchers under HUD's Rental Assistance Demonstration Program, the property ownership of El Camino Village was also transferred to SAMCHAI.
Due to ongoing redevelopment at Midway Village, the property ownership has been transferred back to HACSM; however, SAMCHAI retains property ownership of El Camino Village.
