Acting as the Governing Board of Commissioners for the Housing Authority of the County of San Mateo, adopt a resolution authorizing the Housing Authority-affiliated not-for-profit public benefit corporation SAMCHAI to appoint its Board of Directors for 2024-2025 as required under the SAMCHAI Amended and Restated Bylaws.

BACKGROUND:
On May 11, 2010 the Housing Authority of the County of San Mateo (“HACSM”) Board of Commissioners (the “Commissioners”) approved a resolution authorizing HACSM to establish a Housing Authority-controlled instrumentality. This process was completed to facilitate the disposition of Midway Village, a former Public Housing property owned by HACSM. As part of the disposition approval by the U.S. Department of Housing and Urban Development (“HUD”), the housing ownership of Midway Village was to be transferred to a not-for-profit instrumentality or another non-profit organization. As a result, HACSM created SAMCHAI, an affiliated not-for-profit public benefit corporation. In December 2017, when HACSM converted its remaining Public Housing property, El Camino Village, to Project-Based Vouchers under HUD’s Rental Assistance Demonstration Program, the property ownership of El Camino Village was also transferred to SAMCHAI.
Due to ongoing redevelopment at Midway Village, the property ownership has transferred back to HACSM; however, SAMCHAI retains property ownership of El Camino Village.
DISCUSSION:
As part of its creation, SAMCHAI was required to adopt Bylaws and Covenants; the Bylaws were subsequently amended, known as the Amended and Restated Bylaws of SAMCHAI, a California Nonprofit Public Benefit Corporation (“Amended Bylaws”). The Amended Bylaws became effective on October 25, 2017. Pursuant to Section 4.2 of the Amended Bylaws, the number of Directors on the SAMCHAI Board shall be three, and pursuant to Section 4.5 of the Amended Bylaws, the three Directors shall be appointed annually “by the body acting as Board of Commissioners of the Housing Authority of the County of San Mateo (the ‘Commissioners’).”
The HACSM now requests this Board of Supervisors acting as the Governing Board of Commissioners for the HACSM to appoint the County Department of Housing Director, the HACSM Financial Services Manager, and the HACSM Administrative Services Manager each as a Director to the Board of Directors of SAMCHAI for 2024-2025.
The County Attorney’s Office has reviewed and approved the resolution as to form.
FISCAL IMPACT:
There is no net County cost associated with this action, and there is no fiscal impact to HACSM or SAMCHAI.
