Adopt a resolution authorizing an amendment to the On-Call Engineering and Professional Services agreement with AECOM Technical Services, Inc. to increase the amount by $750,000 to $3,615,000, with no change to the agreement term.

BACKGROUND:
On October 19, 2021, this Board adopted Resolution No. 078497(d), which authorized an on-call agreement with AECOM Technical Services, Inc. (AECOM) to provide engineering design and construction management services in an amount not-to-exceed $1,500,000.
On October 3, 2023, this Board adopted Resolution No. 079983, which authorized Amendment No. 1 to the on-call agreement with AECOM to increase the not-to-exceed amount by $700,000 to $2,200,000.
On March 12, 2024, this Board adopted Resolution No. 080234, which authorized Amendment No. 2 to the on-call agreement with AECOM to increase the not-to-exceed amount by $640,000 to $2,840,000.
On October 31, 2024, as authorized by Resolution No. 080234, the Director of Public Works executed Amendment No. 3 to the on-call agreement with AECOM, increasing the not-to-exceed amount by $25,000 to $2,865,000, and extended the term through October 18, 2026.
DISCUSSION:
AECOM has provided construction management services for the Middlefield Road Improvement Project (Project), which has spanned three years, and has incurred costs that have exceeded the current not-to-exceed amount in the agreement in an effort to complete the work and close the construction phase of the Project. The construction contractor for the Project has completed all work that can be performed until the utility companies perform their work. The Department of Public Works (Department) recommends increasing the not-to-exceed amount of the agreement with AECOM by $174,921 to compensate for work performed to complete Project close out and documentation.
The Department plans to task AECOM with additional work related to traffic signal timing once the Project’s underground electrical system is operational. The traffic signals at Middlefield Road, Pacific Avenue, and the Health Clinic cannot be installed until the underground electrical system is operational due to conflicts with the overhead wires. AECOM’s work is estimated to be $24,000 and will be completed once the traffic signals are installed and ready for operation.
The Department plans to task AECOM with updating the Pacific Gas and Electric (PG&E) Rule 20A Form B tables to reflect the as-built underground utility conditions for the Project. The Form B is used by the Department to appropriately bill utility companies for their costs associated with the Project. The estimated cost for this work is $12,000.
The remaining $539,079 of the recommended increase to the agreement provides capacity for future work on an as-needed basis. The Department anticipates requiring additional consultant services to implement capital improvement projects for various County-maintained roads and infrastructure. This work may include engineering design and construction management.
County Attorney has reviewed and approved the resolution and amendment as to form.
FISCAL IMPACT:
Amendment No. 4 will increase the not-to-exceed amount of the Agreement by $750,000 for a new not-to-exceed amount of $3,615,000. There is no impact to the General Fund.
