Adopt a resolution authorizing a first amendment to the on-call Agreement with Edgar Lopez & Associates, LLC to continue providing on-call construction management services, increasing the not-to-exceed contract capacity by $1,400,000, for a new total not-to-exceed amount of $4,400,000 with no change in term.

BACKGROUND:
On January 28, 2025, the Board of Supervisors adopted Resolution No. 080876, authorizing a master on-call professional services agreement with Edgar Lopez & Associates, LLC (ELA) in the amount of $3,000,000 for on-call construction consulting, project management and construction management services supporting capital projects, including the North County Wellness Center and Pescadero Fire Station No. 59 Projects.
Services under this on-call agreement are authorized on an as-needed basis through project-specific task orders with predefined scopes, staffing plans, and negotiated fee caps.
The North County Wellness Center is nearing completion, while construction of the Pescadero Fire Station No. 59 (Project) is actively underway. As the project progresses, ELA’s master agreement capacity is nearing exhaustion, requiring an increase in contract capacity to continue uninterrupted construction management support through project completion.
DISCUSSION:
The Department of Public Works (Department) oversees the delivery and completion of the Project.
The Department recommends increasing the master agreement capacity with ELA by $1,400,000, establishing a new not-to-exceed limit of $4,400,000. ELA possesses vital institutional knowledge and ongoing technical oversight on-site, ensuring quality control, schedule compliance, and continuity with the general contractor.
The proposed increase will provide sufficient on-call capacity to support construction management, field inspection, and project closeout through scheduled completion in October 2027, as well as accommodate any necessary supplemental coverage resulting from construction duration adjustments or unforeseen site conditions. Individual task orders will be issued on an as-needed basis within this authorized capacity.
The County Attorney has reviewed and approved the resolution and amendment as to form.
COMMUNITY IMPACT:
Fire stations are essential emergency response infrastructure with complex operational, seismic, and life-safety requirements. Maintaining unbroken construction management oversight from active framing through commissioning and closeout prevents costly omissions, avoids re-work, and eliminates the delays and liability gaps associated with onboarding a new management firm mid-construction.
FISCAL IMPACT:
The amendment to the Agreement increases the not-to-exceed amount by an additional $1,400,000 for a new not-to-exceed amount of $4,400,000. Funding for this Amendment is included in the Department’s Approved Budget for FY 2026-27 and will be included in future fiscal year budgets.
There is no additional impact to the General Fund.
