RECOMMENDATION:
title
Adopt a resolution authorizing and directing the President of the Board of Supervisors to execute a seventh amendment to the agreement with Execushield Inc. to provide general security services and additional security guards during Board of Supervisor meetings in County Office Building 3 (COB3), increasing the County’s maximum fiscal obligation from $775,000 to $850,000 with a modified term of April 10, 2024 through November 30, 2026, amending Exhibit B5 to specify applicable rates for services, and making other amendments to confirm rates and revise the hold harmless provision in effect through the term of the agreement.
body
BACKGROUND:
On March 22, 2021, the County issued Request for Proposal (RFP) 1445 for General Security Services and conducted a competitive solicitation. Execushield, Inc. (“Execushield”) was the higher scoring proposer. A copy of the RFP matrix is submitted with this memorandum.
On April 10, 2024, the County entered into an agreement under which Execushield agreed to provide general security services for County Office Building 3 (COB3) in exchange for payments in an amount not to exceed $200,000 for the term April 10, 2024, through April 9, 2027 (“Agreement”).
On May 24, 2024, the County and Execushield (the “Parties”) amended the Agreement to modify the staffing and rates in Exhibit B, replacing it with B2.
On November 12, 2024, the Parties amended the Agreement ("Amendment Two") to increase the County's maximum fiscal obligation to $750,000 and shorten the term such that it ended September 30, 2026.
On December 5, 2024, the Parties amended the Agreement ("Amendment Three") to replace Exhibit B2 in its entirety with B3.
On January 2, 2025, the Parties amended the Agreement ("Amendment Four") to again modify the rates and staffing in Exhibit B3, replacing it with B4.
On February 18, 2026, the Parties amended the Agreement (“Amendment Five”) to include the provision of an additional Security Officer during the Assessment Appeals Board (AAB) meetings and revised B4 to incorporate the additional officer.
On September 16, 2026, the Parties amended the Agreement (“Amendment Six”) to increase the County’s maximum fiscal obligation to $775,000 with no change to the term end date September 30, 2026.
DISCUSSION:
On February 23, 2026, the County released a General Security Services Request for Proposal and selected a new security services firm, Inter-Con Security Systems, Inc., which will begin providing security services at COB3 effective December 1, 2026.
In the meantime, the County continues to require general security services and additional security guards during meetings of the Board of Supervisors and Assessment Appeals Board at COB3, which also houses the following public-serving County departments: Human Resources, County Attorney’s Office, Human Services Agency, District Attorney’s Office, Board of Supervisors, and the County Executive’s Office.
Thus, staff recommends amending the current Agreement through the onboarding of the new selected security firm. The proposed amendment would extend the term of the Agreement through November 30, 2026, increase the maximum fiscal obligation by $75,000 from $775,000 to $850,000, and revise the hold harmless provision in effect through the extended term of the Agreement (“Seventh Amendment”).
The County Attorney’s Office has reviewed the proposed agreement and resolution as to form.
COMMUNITY IMPACT:
The proposed Seventh Amendment will help ensure safety of employees and the public visiting COB3, which will enhance access for all and benefit the community.
FISCAL IMPACT:
The Seventh amendment increases the County’s fiscal obligation over the extended term of the Agreement by $75,000, for a total amount not to exceed $850,000. Funding for the proposed agreement is included in the Non-Departmental Services FY 2026-27 Adopted Budget and will be included in subsequent budgets.
