BACKGROUND:
On May 11, 2010 the Housing Authority of the County of San Mateo ("HACSM") Board of Commissioners (the "Commissioners") approved a resolution authorizing HACSM to establish a Housing Authority-controlled instrumentality. This process was completed to facilitate the disposition of Midway Village, a former Public Housing property owned by HACSM. As part of the disposition approval by the U.S. Department of Housing and Urban Development ("HUD"), the housing ownership of Midway Village was to be transferred to a not-for-profit instrumentality or another non-profit organization. As a result, HACSM created SAMCHAI, an affiliated not-for-profit public benefit corporation. In December 2017, when HACSM converted its remaining Public Housing property, El Camino Village, to Project-Based Vouchers under HUD's Rental Assistance Demonstration Program, the property ownership of El Camino Village was also transferred to SAMCHAI.

Due to ongoing redevelopment at Midway Village, the property ownership has transferred back to HACSM; however, SAMCHAI retains property ownership of El Camino Village.
